Terms of Service

1. Introduction and Acceptance of Terms

These Terms of Service ("Terms") are a legally binding agreement between you ("you", "your", or "User") and Boeger IT Services SHPK, a company registered in the Republic of Albania ("Boeger IT Services", "we", "us", or "our"), governing your access to and use of the PropertySage software-as-a-service platform (the "Service"), including the website at https://www.property-sage.com, its subdomains, any mobile applications, and all related features and functionality.

By creating an account, clicking "I accept", or otherwise accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

We may revise these Terms from time to time. When we do, we will update the "Last updated" date above and notify you through the Service or by email. Changes take effect upon posting. Your continued use of the Service after revised Terms are posted constitutes acceptance of the revised Terms.

2. Eligibility

The Service is available only to individuals who are at least 18 years old and to legal entities (including companies, partnerships, and sole proprietorships) validly organized under the laws of their country of establishment. By using the Service, you represent and warrant that you meet these requirements and that you have the authority to bind the entity on whose behalf you use the Service, where applicable.

The Service is provided for use in the countries in which it is offered. If you access the Service from outside those countries, you do so on your own initiative and are responsible for compliance with your local laws.

3. Accounts and Security

To use the Service you must create an account with accurate, current, and complete information. You are responsible for:

  • maintaining the confidentiality of your username, password, and other credentials;
  • all activity that occurs under your account, including activity by any authorized users you add;
  • notifying us immediately of any unauthorized access or security breach; and
  • ensuring that each user added to your account is authorized to access the data and functions you grant them.

You must not share your credentials with third parties except through the user-management features of the Service. We may disable or suspend any account at any time, in our sole discretion, including if we believe you have violated these Terms. Accounts are personal to you and may not be transferred without our prior written consent.

4. The Service and Our Role

PropertySage is a property management platform that helps landlords, property managers, and real estate professionals manage properties, tenants, leases, invoicing, payments, expenses, maintenance, compliance documentation, and related workflows. The Service may also include an AI-powered assistant and other features added from time to time.

We are not a party to transactions between users. The Service facilitates transactions, agreements, and communications between landlords/property managers and tenants, applicants, vendors, or other third parties. We are not a landlord, property manager, broker, agent, bank, payment institution, insurer, or legal advisor, and we are not a party to any lease, tenancy, sale, service, or other agreement between users or between a user and a third party — even where the transaction is facilitated through the Service.

The Service may provide templates, forms, general information, and automated outputs (for example, lease documents, compliance checklists, or AI-generated summaries). We are not a law firm and do not provide legal, tax, accounting, or financial advice. Any information, templates, or automated outputs provided through the Service are for general informational purposes only and must be reviewed by a qualified professional before reliance. You are solely responsible for the legal validity and compliance of the documents and decisions you make using the Service.

5. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not use the Service to:

  • violate any applicable law or regulation, including housing, tenancy, anti-discrimination, data protection, and consumer protection laws of any applicable jurisdiction;
  • discriminate against any person on the basis of race, ethnicity, religion, gender, sexual orientation, disability, family status, or any other protected characteristic, or to facilitate such discrimination;
  • impersonate any person or entity, or misrepresent your identity or affiliation;
  • transmit spam, chain letters, unsolicited commercial communications, or malware;
  • harvest, scrape, or collect data about other users without authorization;
  • attempt to gain unauthorized access to the Service, its servers, or connected systems;
  • interfere with, disrupt, overburden, or damage the Service, including through denial-of-service attacks;
  • use the Service to store or transmit content that is unlawful, defamatory, obscene, threatening, or infringes the rights of others; or
  • reverse engineer, decompile, or attempt to extract the source code of the Service.

6. User Content

The Service may permit you to upload, post, or submit content, including property information, photographs, documents, messages, and other materials ("User Content"). You retain all rights in your User Content. You are solely responsible for it.

By submitting User Content, you represent and warrant that you own or have the necessary rights to it, and you grant us a worldwide, royalty-free, non-exclusive, sublicensable license to store, process, display, and use your User Content solely to operate, improve, and provide the Service.

7. AI Assistant

The Service includes an AI-powered assistant that can answer questions, summarize data, and assist with workflows. By using AI features you acknowledge and agree that:

  • AI output is informational only. AI-generated content, summaries, and recommendations are provided for convenience and do not constitute professional, legal, tax, financial, or investment advice. You must independently verify AI output before relying on it.
  • AI output may be inaccurate. We do not guarantee the accuracy, completeness, or reliability of AI-generated content.
  • You are responsible for your use of AI output. You are solely responsible for evaluating the suitability of AI-generated content and for any decisions or actions taken based on it.
  • Limits apply. The Service may impose usage limits on AI features (for example, a monthly budget per account). We may modify, throttle, or discontinue AI features at any time.
  • No liability for AI output. To the maximum extent permitted by law, we are not liable for any damages arising from your use of AI features or reliance on AI output.
  • Responsible use. You must not use AI features to generate or distribute unlawful, harmful, discriminatory, or infringing content, or to attempt to extract or scrape underlying model data.

8. Payments and Financial Services

The Service may facilitate payments, invoicing, and rent collection. Payment processing is provided by third-party payment service providers, and we are not a bank or payment institution. By using payment features you agree that:

  • your use of payment features is subject to the applicable payment provider's terms;
  • we are not responsible for the actions, failures, or fees of payment providers;
  • funds are held and transferred by the payment provider, not by us;
  • you are responsible for compliance with applicable financial, tax, and money-laundering regulations in your jurisdiction; and
  • disputes about payments between users (for example, between a landlord and tenant) are resolved between those users, not by us.

9. Compliance and Document Features

The Service may include compliance management features, such as certificate tracking, expiry reminders, and documentation storage. These features are administrative tools only:

  • We do not verify the authenticity, validity, or legal sufficiency of any certificate, permit, license, or document stored or tracked in the Service.
  • We do not guarantee that tracking or reminders will prevent expiry, penalty, or non-compliance.
  • You are solely responsible for maintaining, renewing, and complying with all legal, regulatory, and safety obligations applicable to your properties and business, and for the accuracy of all documents and data you enter.

10. Fees, Plans, and Subscriptions

The Service is offered under free and paid plans, as described on the Service. By subscribing to a paid plan you agree to pay the applicable fees, which may be billed monthly or annually as selected. Unless stated otherwise, fees are exclusive of taxes, which you are responsible for paying.

  • Free plan limits. Free plans may include limits, such as a maximum number of properties or reduced feature access. We may change free-plan limits at any time.
  • Trials. Trial periods, where offered, begin on activation and end on the stated date. At the end of a trial, your plan continues on the corresponding paid plan unless you cancel before the trial ends.
  • Renewal and cancellation. Paid subscriptions renew automatically until cancelled. You may cancel at any time through your account settings; cancellation takes effect at the end of the current billing period.
  • No refunds. Fees are non-refundable except where required by applicable consumer-protection law. Partial-period fees are not prorated on cancellation.
  • Changes to fees. We may change fees or introduce new fees with at least 30 days' notice.

11. Electronic Communications

By using the Service, you consent to receive communications from us electronically, including by email, in-app notifications, and messages posted within the Service. These communications may include administrative messages, service notices, and, where you have opted in, marketing communications. You may opt out of marketing communications at any time. Standard message and data rates may apply to communications sent to your mobile number.

12. Intellectual Property

The Service, including its software, design, text, graphics, logos, trademarks, and all other materials (other than User Content), is owned by Boeger IT Services SHPK or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your internal business purposes, in accordance with these Terms. You may not copy, modify, distribute, sell, or create derivative works from the Service except as expressly permitted.

If you provide feedback, suggestions, or feature requests, you grant us an unrestricted, irrevocable, worldwide license to use them without obligation to you.

13. Data Protection and Privacy

Your use of the Service is subject to our Privacy Policy, which explains how we collect, use, and protect personal data, including your obligations as a data controller of data you enter about tenants, applicants, and other individuals. Where you process personal data of individuals located in the European Economic Area or other jurisdictions with data protection laws, you are responsible for complying with those laws, including providing required notices and lawful bases for processing.

14. Monitoring and Enforcement

We may monitor use of the Service for compliance with these Terms and applicable law, and we may, in our sole discretion and without notice: remove or disable access to any User Content; suspend or terminate accounts; cooperate with law enforcement or judicial authorities; and take any other action we deem necessary to protect the Service, our users, or the public. We are not obligated to monitor, review, or remove User Content, and we assume no liability for failing to do so.

15. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES CONCERNING ACCURACY, AVAILABILITY, SECURITY, OR UNINTERRUPTED OPERATION OF THE SERVICE. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICE OR ITS SERVERS ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE ARE NOT LIABLE FOR ANY LOSS, CORRUPTION, OR THEFT OF DATA ENTERED INTO THE SERVICE. YOU USE THE SERVICE AT YOUR OWN RISK.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL WE, OUR AFFILIATES, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, USE, OR DATA, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

NOTWITHSTANDING ANYTHING TO THE CONTRARY, OUR TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) €500 (FIVE HUNDRED EUROS).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR DAMAGES. WHERE SUCH LAWS APPLY TO YOU, THE EXCLUSIONS AND LIMITATIONS ABOVE APPLY TO THE MAXIMUM EXTENT PERMITTED BY LAW.

17. Indemnification

You agree to defend, indemnify, and hold harmless Boeger IT Services SHPK and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; (d) your violation of any law or the rights of any third party; or (e) any dispute between you and another user (including tenants, applicants, or vendors).

18. Termination

We may suspend or terminate your access to the Service, in whole or in part, at any time for any reason, including if you breach these Terms. You may terminate your account at any time through your account settings or by contacting us. Upon termination: your right to use the Service ceases; your User Content may be deleted after a reasonable period; and any provisions of these Terms that by their nature should survive termination (including sections 6, 7, 12, 13, 15, 16, 17, 19, and 20) will survive. Termination does not affect any fees due or paid.

19. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Republic of Albania, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service that is not resolved through the process in Section 20 shall be submitted to the exclusive jurisdiction of the courts of Tirana, Albania.

20. Dispute Resolution

We and you agree to first attempt to resolve any dispute informally. You agree to contact us in writing describing the problem and your proposed resolution, and we will respond within a reasonable time. If the dispute is not resolved within thirty (30) days of the initial written notice, either party may pursue the remedies available under applicable law in the courts of Tirana, Albania, subject to Section 19. Nothing in this section prevents either party from seeking injunctive or other urgent relief from a court of competent jurisdiction to protect its rights or property.

21. Changes to the Service

We may modify, suspend, or discontinue the Service, or any feature or functionality, at any time, with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuation. We may also impose limits on certain features or restrict access to parts of the Service without notice or liability.

22. Miscellaneous

  • Severability. If any provision of these Terms is held unlawful or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force and effect.
  • No waiver. Our failure to enforce any provision of these Terms is not a waiver of that provision.
  • Assignment. You may not assign these Terms or any rights under them without our prior written consent. We may assign these Terms without your consent.
  • Entire agreement. These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Boeger IT Services SHPK regarding the Service, superseding any prior agreements.
  • Language. These Terms are provided in English. Translated versions, where available, are for convenience only; in the event of any inconsistency, the English version prevails.
